Constitution And By-laws of
Mid-Missouri Chinese Association (passed on 1/17/04)
Article I: Organization:
- The name of this organization is Mid-Missouri Chinese Association, hereafter referred to as MMCA.
- The organization name can be changed by vote of more than 2/3 of members.
- The governing body of MMCA is MMCA committee, consisted of President, vice president (president elected), secretary, treasurer and activity coordinators, the number of committee members is 5 to 7 persons.
Article II: Purposes:
- MMCA is a non-profit and non-partisan organization to foster appreciation of Chinese culture, and to promote fellowship among the Chinese Americans, residents of Chinese nationality and other racial groups in the Mid-Missouri area, to outreach to other community organizations, and to provide a forum for discussion and promotion of issues of common interests.
- MMCA shall execute its right and benefit as a non-profit organization under the Missouri law.
Article III: Membership:
- The membership of MMCA shall be open to all persons who are interested in and support MMCA purpose and objectives.
- Membership dues and privileges shall be established in the By-laws of MMCA.
Article IV: Annual meeting:
- The annual MMCA meeting will be held with the celebration of Chinese New Year, the MMCA committee has the right to change the meeting date and location, the secretary shall provide the date, location and meeting content to all MMCA members three weeks before the annual meeting.
- A valid meeting requires more than one half members to present, if less than 1/2 members are present, the committee can cancel the meeting and re-schedule the meeting within four weeks. The secretary shall make announcement to all members about the rescheduled meeting.
- MMCA president can hold a special meeting up on the request by three committee members or more than 1/2 MMCA members. The meeting content, reason to hold the special meeting, time and location shall be announced to all members 15 days before the meeting. Any motions suggested by members in the meeting need to be proved by all members in order to become a decision.
Article V: Election:
- Candidates of MMCA committee are nominated by the current committee, MMCA members have the right to nominate the candidates at the annual meeting.
- Committee members can be chosen by voice vote, if use ballots, the president shall point three persons who are not candidates to monitor the election, and report the election result to the president and MMCA members.
- The candidates may make a statement to all the members before the election.
Article VI: Committee:
- MMCA committee executes and oversees all the MMCA activities.
- MMCA committee carries out the action decided by more than half of the member’s vote.
- The president oversees the committee meeting, at least 3 members attending the committee meeting is required. Under the agreement of majority of the committee members, a special meeting can be called.
- Each committee member only has one vote, if there is a tie on the vote, president can make the final decision.
- The orders and procedures of the committee can refer the Robert’s Rules of Orders as general meeting guidelines.
Article VII: Functions of Committee members:
- The term for MMCA committee members is one year and can be extended to another year as requested by the elected president and agreed by the committee member. The term of the vice president (or president elected) is two years, first year serving as vice president, the following year is president. The committee can invite and recruit non-committee members as activity coordinators to help its function.
- The duties of president include: to oversee all meetings, and report annual activities, to monitor and update all legal and financial documents, to sign MMCA check and money orders, and to have the power and privilege as a chief executive person in an organization.
- The Vice president shall execute the duties as the president when the president is not available. The main duty of the vice president is to recruit new members and familiarize the operation of MMCA, the vice president will automatically become president at the next annual meeting.
- The secretary is responsible for taking meeting notes, keeping a copy of all meeting records, assisting and editing all meeting announcements, reports and other mailing matters for MMCA.
- The treasurer is in charge of all financial documents and other financial related duties. The treasurer has the right to sign financial documents. MMCA only uses one banking account. A financial report of MMCA shall be announced to all members each year.
- Editor is responsible to publish and distribute MMCA news letters, which will be published on web and sent to all members at least three times per year.
- Activity or club coordinators shall organize and coordinate all the club activities and other MMCA events, and recruit the members to join the club activities and other MMCA events.
- The secretary, treasurer, editor and activity coordinators shall report to the president and vice president.
- There is no salary or any other financial support to all the committee members. Only MMCA activity expenses will be reimbursed.
- The MMCA members have the right to replace a committee member if voted and passed by majority (more than 2/3 members) and a reason.
Article VIII: Membership dues and MMCA revenue:
- Any person who is interested in and support MMCA purpose and objectives can be enrolled as a member of MMCA. The membership dues are $25 per family and $15 per person annually. MMCA reserves the right to adjust the membership dues.
- MMCA revenue source is from the following resources: (1) membership dues, (2) fees collected from non-member who attends MMCA events, (3) local business donation, (4) fund raising events organized by MMCA.
Article IX: Revision of the Constitutions and By-laws:
This constitution and by-laws can be revised by a vote passed by over 2/3 members. The proposed revision item shall be posted on the MMCA letter before the vote.
The document has been read and passed by more than 2/3 members of MMCA.
